General Terms and Conditions of Sale

  1. Scope and Applicability

These General Terms and Conditions apply to all quotations, offers, orders and agreements relating to the sale and supply of products and services by SAMA Water Products BV, Dordrecht, The Netherlands.

By placing an order, the customer accepts these Terms and Conditions. Deviations from these terms are only valid if agreed in writing.

  1. Offers and Orders

All quotations and offers issued by SAMA Water Products are non-binding unless explicitly stated otherwise.

Orders become binding only after written confirmation by SAMA Water Products or upon delivery of the products.

  1. Prices

All prices are stated in Euro (€) unless otherwise specified.

Prices are exclusive of:

  • VAT
  • transport costs
  • insurance
  • import duties or local taxes

SAMA Water Products reserves the right to adjust prices in case of significant cost changes.

  1. Delivery

Delivery times are indicative unless explicitly agreed otherwise.

SAMA Water Products shall not be liable for delays caused by circumstances beyond its reasonable control.

Unless otherwise agreed, delivery is made Ex Works (EXW) Dordrecht, The Netherlands in accordance with Incoterms® 2020.

  1. Payment

Invoices must be paid within 30 days from invoice date, unless otherwise agreed in writing.

In case of late payment SAMA Water Products reserves the right to:

  • suspend further deliveries
  • charge statutory interest
  • charge collection costs
  1. Warranty

SAMA Water Products warrants that the products supplied are free from defects in materials and workmanship under normal use for a period of twelve (12) months from the date of delivery, unless otherwise agreed.

The warranty does not apply to damage caused by:

  • incorrect installation
  • improper use
  • lack of maintenance
  • unauthorised modification
  1. Limitation of Liability

SAMA Water Products shall not be liable for any indirect, incidental or consequential damages, including but not limited to:

  • loss of production
  • loss of profit
  • business interruption
  • loss of data

The total liability of SAMA Water Products shall in any event be limited to the invoice value of the products supplied.

  1. Force Majeure

SAMA Water Products shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to:

  • natural disasters
  • transport disruptions
  • supply chain interruptions
  • labour disputes
  • governmental actions
  1. Intellectual Property

All intellectual property rights relating to products, documentation, manuals and technical information remain the property of SAMA Water Products.

No part of such documentation may be reproduced without prior written permission.

  1. Product Use and Safety

The customer is responsible for ensuring that the products are installed and used in accordance with the applicable instructions, Safety Data Sheets and technical documentation.

  1. Termination

SAMA Water Products reserves the right to terminate agreements in case of:

  • non-payment
  • breach of contract
  • insolvency of the customer
  1. Governing Law

All agreements are governed exclusively by the laws of The Netherlands.

  1. Dispute Resolution

Any disputes arising from or related to agreements with SAMA Water Products shall be submitted to the competent court in The Netherlands.
